These terms apply to tutoring sessions, exam-preparation services, packages, group sessions, and related services purchased from Clinical Edge Tutoring & Exam Prep.
1. Nature of Services
Clinical Edge Tutoring & Exam Prep (“Clinical Edge”) provides independent tutoring, academic support, study assistance, and exam-preparation services. Clinical Edge is not a college, university, private career school, certification body, licensing agency, or accredited educational institution. Clinical Edge does not award academic credit, degrees, diplomas, occupational certificates, professional licenses, or government credentials. Tutoring is supplemental educational support and is not a substitute for any classroom, laboratory, clinical, hands-on, supervised, or other training required by a school, employer, certifying body, licensing authority, or law.
2. No Guarantee of Results
Academic and testing outcomes depend on many factors outside Clinical Edge’s control. Clinical Edge does not guarantee any particular grade, exam score, passing result, admission decision, graduation, certification, licensure, employment outcome, promotion, or other academic or professional result. Students remain responsible for studying, completing required coursework, meeting eligibility requirements, registering for exams, and complying with the rules of their school, employer, certifying organization, or licensing authority.
3. Payment & Booking
Payment is required in full before a session or package is confirmed unless Clinical Edge expressly agrees otherwise in writing. Prices are those displayed at the time of purchase. A payment does not guarantee a requested date or time for manually scheduled services. Quick Help, Extended Tutoring, Intensive Tutoring, Exam Prep CRAM, and Small Group Tutoring may require manual scheduling after payment and remain subject to availability.
4. Cancellations, Rescheduling & No-Shows
Regular tutoring sessions require at least 24 hours’ notice to cancel or reschedule. A cancellation or rescheduling request received with less than 24 hours’ notice may be treated as a late cancellation and the payment or applicable package session may be forfeited. A student who does not attend and does not provide timely notice is considered a no-show and is not entitled to a refund or replacement session, except where required by law or where Clinical Edge chooses to make an exception.
5. Late Arrivals
Sessions begin and end at the scheduled times. A student who arrives late may use the remaining scheduled time, but the session will not automatically be extended. If lateness makes the session impractical, Clinical Edge may treat the appointment as a missed session.
6. Package Terms & Expiration
Private tutoring packages are prepaid, non-transferable, and may be used only by the original purchaser/student unless Clinical Edge agrees otherwise in writing. The 4-session and 7-session packages expire 90 days after purchase. The 10-session package expires 120 days after purchase. Unused sessions remaining after the applicable expiration date expire and are non-refundable, except where applicable law requires otherwise. Students are responsible for scheduling sessions early enough to use the package before expiration. Availability near an expiration date is not guaranteed.
7. Exam Prep CRAM & Same-Day Requests
Exam Prep CRAM is a premium, intensive service. Same-day and urgent requests are subject to tutor availability and are not guaranteed merely because payment was submitted. Once a CRAM appointment has been confirmed and reserved, the session is non-refundable for student cancellation or no-show to the fullest extent permitted by applicable law. Clinical Edge may offer rescheduling in its discretion when circumstances reasonably warrant it.
8. Small Group Sessions
Each participant must purchase their own seat unless Clinical Edge expressly offers a different arrangement. Group scheduling is coordinated by Clinical Edge. Students must respect the privacy and participation of other group members. Clinical Edge may change or cancel a group session if minimum participation or scheduling requirements are not met; in that event, affected students will be offered an appropriate rescheduling option or refund for the canceled service.
9. Respectful Learning Environment & Student Conduct
Clinical Edge is committed to a safe, respectful, professional, and inclusive learning environment. Disrespectful, threatening, abusive, harassing, discriminatory, sexually inappropriate, intimidating, or seriously disruptive conduct will not be tolerated. This includes slurs, discriminatory remarks, threats, targeted harassment, unwanted sexual conduct, or mistreatment of the tutor or another participant.
Clinical Edge may immediately end a session and may discontinue future services when, in Clinical Edge’s reasonable judgment, a student’s conduct threatens safety, dignity, privacy, academic integrity, or the appropriate functioning of the learning environment. A student whose session or services are terminated because of serious misconduct or a material violation of these terms may forfeit payment for the affected session, and no refund will be provided to the fullest extent permitted by applicable law. Repeated or serious misconduct may result in refusal of future services. Decisions to terminate or refuse services will be based on conduct and legitimate business or safety reasons, not on a characteristic protected by applicable law.
10. Academic Integrity
Clinical Edge provides instruction, explanation, review, and study support. Clinical Edge will not impersonate a student, take an exam, quiz, competency assessment, or certification test for a student, or knowingly complete work that a student is required to perform independently. Clinical Edge may decline requests that violate academic-integrity rules or the policies of a school, testing organization, employer, or credentialing body.
11. Educational Materials & Intellectual Property
Unless otherwise stated, original Clinical Edge study guides, worksheets, presentations, practice materials, graphics, explanations, and other proprietary materials are provided for the purchaser’s personal educational use only. They may not be sold, commercially reproduced, publicly posted, uploaded, redistributed, or shared as a substitute for purchasing the service without prior written permission. Nothing in these terms limits rights that cannot lawfully be restricted.
12. Recording & Privacy During Sessions
Students may not audio-record, video-record, livestream, or publicly broadcast a tutoring session without prior consent from Clinical Edge and, for group sessions, any other participant whose consent is required by law. Students should avoid sharing unnecessary sensitive personal, medical, financial, or account information during tutoring sessions.
13. Technology & Third-Party Services
Virtual tutoring depends on internet access, compatible devices, and third-party services such as Google Meet, Google Calendar, email, and Stripe. Students are responsible for maintaining suitable internet and device access. Clinical Edge is not responsible for outages or failures caused by a student’s equipment, internet provider, or independent third-party platform. If a material technical problem on Clinical Edge’s side prevents delivery of a paid session, Clinical Edge will offer reasonable rescheduling or, when appropriate, a refund for the affected undelivered service.
14. Tutor Cancellation
If Clinical Edge must cancel a confirmed session, the student may reschedule the affected session at no additional charge. If a reasonable rescheduled time cannot be arranged, Clinical Edge will refund the amount paid for the affected undelivered session or restore the applicable package credit.
15. Refunds & Charge Disputes
Refund eligibility is governed by these terms and applicable law. Students should contact Clinical Edge promptly about billing or service concerns before initiating a payment dispute so that the issue can be reviewed. Nothing in these terms waives any non-waivable consumer right or lawful right to dispute an unauthorized or incorrect charge.
16. Reviews & Feedback
Students remain free to share honest opinions about their experience. Clinical Edge does not require students to waive rights in honest reviews or penalize a student merely for expressing an honest opinion. Reviews or communications that unlawfully disclose private information, contain unlawful threats or harassment, or otherwise violate applicable law may be addressed through lawful means.
17. Limitation of Liability
To the fullest extent permitted by applicable law, Clinical Edge will not be liable for indirect, incidental, special, consequential, or similar losses arising from academic performance, exam results, admissions decisions, certification or licensing decisions, employment decisions, missed deadlines, student failure to use purchased sessions before expiration, or outages of independent third-party services. Nothing in these terms excludes or limits liability that cannot legally be excluded or limited.
18. Changes to Services or Policies
Clinical Edge may update prices, availability, service offerings, and these Policies & Terms from time to time. Changes apply prospectively from the stated effective date and do not retroactively reduce rights that have already vested under applicable law. The version presented at the time of purchase will generally govern that purchase unless applicable law requires otherwise.
19. Governing Law
These terms are governed by the laws of the State of New York, without limiting any consumer protection or other right that applicable law does not permit the parties to waive.
20. Severability & Entire Agreement
If a provision of these terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law. These Policies & Terms, together with the service description and any written terms presented at checkout, form the agreement concerning the purchased tutoring service.
